1. General
These Terms & Conditions govern all supply of industrial valves, actuated valves, and related equipment by UAE Valves, located in the United Arab Emirates with warehouse facilities in Dubai, Abu Dhabi, and Ras Al Khaimah.
All transactions are conducted on a B2B basis and are subject to the terms below unless otherwise agreed in writing.
2. Orders & Contract Formation
- Orders are valid only upon written confirmation by UAE Valves.
- Buyer-issued purchase orders containing additional terms shall not override these Terms unless expressly accepted in writing.
- Buyer-provided specifications and approved drawings are binding.
3. Standards & Compliance
Products may be supplied in accordance with applicable standards including API, ASME, ISO, EN, and ASTM where specified in the purchase order.
Inspection certificates such as EN 10204 3.1 may be provided if required in the order.
4. Pricing & Commercial Terms
- Prices exclude VAT unless otherwise stated.
- Freight and insurance are excluded unless agreed in writing.
- Prices are subject to change prior to order confirmation.
- Incoterms shall apply as per the latest ICC edition unless otherwise agreed.
5. Payment Terms
Accepted payment methods:
- Advance Telegraphic Transfer (TT)
- Irrevocable Letter of Credit (LC)
Production or dispatch shall commence only after agreed payment terms are secured.
6. Delivery
Delivery timelines are estimates based on manufacturing schedules, stock availability in UAE warehouses, and inspection requirements.
Delays shall not entitle the buyer to claim indirect damages, penalties, or liquidated damages unless expressly agreed in writing.
7. Inspection & Acceptance
If inspection is required, it must be conducted at the agreed location prior to dispatch.
Failure to attend inspection at the scheduled time shall constitute deemed acceptance.
Claims must be submitted in writing within 7 days of receipt of goods.
8. Warranty
UAE Valves provides an 18-month warranty from the date of supply.
Warranty covers manufacturing and material defects only.
Warranty does not cover:
- Improper installation
- Misuse or incorrect application
- Operation outside design parameters
- Unauthorized modification
- Normal wear and tear
- Environmental corrosion or site conditions
Warranty remedy is limited to repair or replacement at UAE Valves’ discretion.
No on-site labor, removal, reinstallation, or consequential project costs are included unless separately agreed.
9. Limitation of Liability
To the maximum extent permitted under UAE law:
- UAE Valves shall not be liable for indirect, incidental, or consequential damages.
- No liability for loss of production, downtime, revenue loss, or project delay penalties.
- Total liability shall not exceed the value of the supplied goods.
10. Force Majeure
UAE Valves shall not be liable for delays or failure caused by events beyond reasonable control, including natural disasters, government restrictions, supply chain disruptions, sanctions, or port delays.
11. Intellectual Property
All drawings, technical documents, catalogues, and website content remain the property of UAE Valves and may not be reproduced without written permission.
12. Governing Law & Dispute Resolution
These Terms & Conditions shall be governed by the laws of the United Arab Emirates.
Any dispute arising out of or in connection with these Terms shall be referred to arbitration under the rules of the Dubai International Arbitration Centre (DIAC). The decision shall be final and binding.
